1. Description of Service

InstantOutreach is an AI-powered SMS automation platform that allows business owners to automate client text message responses. The platform learns your texting style and generates replies on your behalf, enabling you to maintain responsive client communication without manual effort.

2. User Obligations

By using InstantOutreach, you agree to:

• Provide accurate and complete information when creating your account
• Maintain the security of your account credentials
• Use the platform only for lawful business purposes
• Not attempt to reverse engineer, scrape, or interfere with the platform
• Not use the service to send spam, harassment, or unsolicited communications
• Comply with all applicable laws and regulations in your jurisdiction

3. SMS Compliance

You are solely responsible for ensuring you have proper consent from your clients before sending them SMS messages through InstantOutreach. You agree to comply with all applicable SMS regulations including TCPA, CTIA guidelines, and carrier requirements. InstantOutreach is not liable for any compliance violations resulting from your use of the platform.

You acknowledge that automated SMS messaging is subject to federal and state regulation. It is your responsibility to maintain records of client consent and to honor opt-out requests promptly. We reserve the right to suspend accounts that are found to be sending non-compliant messages.

4. AI-Generated Content

InstantOutreach uses AI to generate SMS responses on your behalf. You are responsible for reviewing your AI configuration and ensuring messages sent through the platform are accurate and appropriate. InstantOutreach is not liable for the content of AI-generated messages.

You understand that AI-generated content may occasionally be inaccurate, incomplete, or inconsistent with your intent. The platform provides escalation tools (such as confidence scoring and owner takeover) to help you maintain oversight. Enabling these features is your responsibility.

5. Payment Terms

InstantOutreach is offered on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis at the rate applicable to your chosen plan. Subscriptions automatically renew unless cancelled before the renewal date.

All fees are non-refundable except as required by law or as otherwise stated at the time of purchase. We reserve the right to modify pricing with reasonable notice to existing subscribers.

6. Intellectual Property

All software, technology, trademarks, and content comprising the InstantOutreach platform are the exclusive property of Everglade Systems LLC. You are granted a limited, non-exclusive, non-transferable license to use the platform solely for its intended purpose during your active subscription.

You retain ownership of the content you provide, including writing samples and business information. By submitting content to the platform, you grant us a limited license to process it for the purpose of delivering the service.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Everglade Systems LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption, arising out of or in connection with your use of InstantOutreach.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the three months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Everglade Systems LLC and its affiliates from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of: (a) your use of InstantOutreach; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including SMS compliance laws; or (d) any claim by a third party related to messages you sent using the platform.

9. Termination

You may cancel your account at any time through the platform or by contacting us. We reserve the right to suspend or terminate your access to InstantOutreach at our sole discretion, with or without notice, if we believe you have violated these Terms or if continued service poses legal, regulatory, or reputational risk.

Upon termination, your right to use the platform ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Florida.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of InstantOutreach after changes are posted constitutes your acceptance of the revised Terms.
